Terms of Service
These terms govern your use of Dayfolio. They are written in plain English, but they are still a contract. Read them before you sign up.
1. Acceptance
By accessing or using Dayfolio, by signing an order form that references these terms, or by authorizing a connector on behalf of your restaurant or group, you agree to be bound by this agreement. If you are accepting on behalf of an organization, you represent that you have the authority to do so, and “you” refers to that organization. The Dayfolio product is provided by Orientic Institute Ltd., a Canadian company registered at 15 Rue Jos-Montferrand, Gatineau, QC J8X 0C2.
2. The service
Dayfolio ingests operational data from the restaurant systems you connect · POS, labor, inventory, accounting, reservations, delivery · normalizes it into a shared ontology, and delivers insight through:
- A daily briefing email, targeted for 6am local time.
- An MCP endpoint that authorized agents, such as Claude Cowork, can query on your behalf.
- Scheduled and ad-hoc reports produced for your workspace.
- Additional surfaces we may add over time. New capabilities are covered by these terms unless we specify otherwise.
3. Your account
You represent the restaurant, restaurant group, or hospitality business you connect to Dayfolio. You are responsible for keeping credentials and API keys confidential, for the actions taken under your account, and for making sure everyone you grant access to is authorized to see the underlying data. We support a single workspace administrator by default · additional administrators can be added on request. Credentials are issued per person; you agree not to share a single login across multiple users.
4. Acceptable use
When using Dayfolio, you agree not to:
- Probe, scan, or test the vulnerability of the service without our written permission.
- Reverse-engineer, decompile, or attempt to derive our source code or ontology.
- Resell, sublicense, or offer the service to third parties as a standalone product.
- Overload the MCP endpoint, connectors, or other interfaces · including through excessive automated querying that we determine, in good faith, is abusive.
- Use the service to violate any law, infringe any third-party right, or process data you do not have the right to process.
5. Connectors
To run Dayfolio, you grant us permission to access the external systems you connect and to ingest the data exposed by the scopes you authorize. You represent that you have the right to authorize those connections · including from your employer, business partners, or vendors where applicable · and that you will promptly revoke access through Dayfolio if your authority ends. We are not responsible for the behavior or availability of third-party systems, and we do not guarantee that any specific connector will remain available if the upstream vendor changes its terms or API.
6. Fees and billing
Dayfolio is priced on an annual commitment basis at USD $250 per location per month, billed annually in advance unless we agree otherwise in writing. A one-time setup fee may apply to cover scoped onboarding work; this fee is quoted separately in your order form.
Invoices are issued in CAD or USD by agreement and are due net 15 days unless stated otherwise on the invoice. Late payments accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law. We may suspend the service if an invoice is more than 30 days overdue, after giving you at least 10 days' written notice and a chance to cure.
Fees are exclusive of taxes. Where we are required to collect sales tax, GST, QST, or similar, it will be added to the invoice.
7. Intellectual property
We own the Dayfolio platform, the shared ontology used to normalize restaurant data, the software that runs the service, and any templates, reports, or briefing formats we create. No rights to those assets transfer to you.
You own your data · including the raw data ingested on your behalf, the configurations you set, and the prompts, questions, and custom reports you produce. You grant Orientic a limited, worldwide, non-exclusive, royalty-free license to host, copy, transmit, and process your data solely as necessary to deliver and support the service.
That license does not include the right to train any machine-learning or large language model on your data · not for us, not for our model providers, not for any third party. Our contracts with third-party model providers prohibit training on customer data.
8. Confidentiality
Each party agrees to treat the other's non-public information as confidential, to use it only to perform this agreement, and to protect it with at least the same care it uses for its own confidential information · and in any case with reasonable care. This obligation survives for three years after termination. It does not cover information that is public through no fault of the receiving party, that was already lawfully known, that is independently developed, or that must be disclosed by law.
9. Warranties
We will provide the service with commercially reasonable care and skill. If we become aware of a material incident affecting your data or the availability of the service, we will disclose it to you as described in our Privacy Policy.
Except as stated in this section, the service is provided “as is”. To the maximum extent permitted by law, we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of liability
To the maximum extent permitted by law, each party's total liability under this agreement is capped at the fees paid or payable by you to Orientic in the 12 months preceding the event that gave rise to the claim.
Neither party is liable to the other for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunity, even if it has been advised of the possibility of such damages. These limits do not apply to fraud, willful misconduct, or breach of the confidentiality obligations in Section 8.
11. Term and termination
The initial term is 12 months from the subscription start date on your order form. After the initial term, the agreement renews month to month unless either party gives at least 30 days' written notice of non-renewal.
Either party may terminate for material breach if the other party has not cured the breach within 30 days of written notice. On termination we stop ingesting new data, disable access to the service, and support the data-export process described in Section 13.
12. Service levels
We target 99.5% monthly availability of the service, excluding scheduled maintenance windows that we announce in advance and force majeure events.
The daily briefing is targeted for delivery before 6am local time, every day. This is a best-effort target, not a guarantee · delivery can be delayed by upstream connector outages, scheduled maintenance, or events outside our reasonable control.
13. Data portability on termination
For 30 days after termination, you may request a structured export of the operational data we hold on your behalf. Exports are delivered as a CSV bundle for tabular data plus a JSON archive that preserves the relationships in the Dayfolio ontology. After the 30-day window, we delete your data as described in the Privacy Policy.
14. Governing law and jurisdiction
This agreement is governed by the laws of the Province of Quebec and the federal laws of Canada that apply there, without regard to conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the courts sitting in the judicial district of Gatineau, Quebec, for any dispute arising out of or relating to this agreement.
15. Changes
We may update these terms from time to time. For material changes, we will give at least 30 days' notice by email or through the product before they take effect. Continued use of the service after the effective date constitutes acceptance.
16. Entire agreement and severability
This agreement, together with your order form, the Privacy Policy, and any schedule or addendum explicitly incorporated by reference, is the entire agreement between you and Orientic regarding the Dayfolio service. It supersedes any prior agreement or understanding on the same subject. If any provision is held unenforceable, the remaining provisions stay in force and the unenforceable provision is modified to the minimum extent necessary to make it enforceable.
